By using the services of Finwise, you acknowledge and accept explicitly and without any reservation that the Terms & Conditions always and exclusively apply.In exceptional cases, deviations from these Terms & Conditions can be made insofar as these deviations are accepted by all parties and have been recorded in writing. These deviations only replace or supplement the clauses to which they relate and have no effect on the application of the other provisions of these Terms & Conditions.

Finwise’s work will be based on information provided by the Client and its employees. Finwise’s activities do not concern an investigation into the correctness of the information provided, as such Finwise does not perform any checks or due diligence.

Finwise will perform assignments with full knowledge of the facts and with due care. However, Finwise cannot guarantee results.Finwise will be liable to the Client for losses, damages, or costs (hereinafter Losses) resulting from gross negligence and willful default, under the following conditions:Finwise will not be held liable for such Losses if they are due to false, misleading or incomplete information or documentation or to acts or omissions by others than Finwise; the full liability, towards the Client or towards third parties, of whatever nature of Finwise for whatever Losses and in whatever way caused by or connected to assignments will not exceed the total amount of all payments that Finwise has received in the context of assignment letters or any equivalent communication.

In case of disputes, Irish law is applicable and the courts of Dublin, Ireland have jurisdiction.

Information

Clients undertake to provide Finwise with the required information for the completion of services by Finwise and will also always guarantee the validity of the information provided to Finwise. Clients undertake to compensate any possible direct or indirect damage that Finwise may suffer as a result of voluntary or manifestly late, incorrect or damage-causing information, at Finwise’s request.Finwise also reserves the right to terminate the Agreement at any time and without any notice period or compensation in the above case.

Payment terms

Each invoice is payable in cash to the stated account and within 15 days after the date, unless otherwise stated on the invoice. Default interest: 1% per month with a minimum of 50 €. Interests and fines for late payment are legally and without any notice of default due from the expiry of the payment term. Complaints regarding invoicing must be sent to us within 8 days.

Emails & Documents

Emails and files sent by Finwise are confidential and intended solely for the use of the individual or entity to whom they are addressed. If you are not the intended recipient you are notified that disclosing, copying, distributing or taking any action in reliance on the contents of this information is strictly prohibited. Please notify the sender immediately by e-mail if you have received an email by mistake and delete this email from your system. If the document contains information on financial instruments or financial markets it has been created for internal use and/or for the information/use of its clients and may not be reproduced or further distributed, in whole or in part, for any purpose, without the prior permission by the author.

Disclosure

Unless specified differently, Finwise is always entitled to disclose the services provided to the Client in the context of an assignment after its successful completion.
